| 摘 要： | 本文从中国旅游资源开发现状评价入手，讨论了在旅游资源开发中的几个重要法律问题：国家对自然资源永久主权问题、允许外国合作者开发我国旅游资源的范围和方式问题、中外合作开发旅游资源协议的法律性质问题、中外合作开发旅游资源协议的法律适用问题以及中外合作开发旅游资源协议相关争议的管辖权问题等。最后，本文提出了解决上述法律问题的途径。

| Abstract: | The paper begins with an evaluation of the development of China's tour ist resources and discusses a couple of important legal issues in cooperative de velopment of tourist resources,such as the sovereignty of the country to natura l resources,the scale of tourist resources permitting foreigners to develop,th e legal nature of contracts of cooperative development by Chinese and foreign pa rties,the laws and regulations governing the contracts and the jurisdiction to disputes in them, then puts forward some solutions to these legal issues. |
